Steps To Form LLP In India

Step 1: Apply For Digital Signature Certificate:
The first step is to obtain DSC i.e Digital Signature Certificate of designated partners involved in Limited Liability Partnership Company. The main purpose of the DSC is to sign the eforms . According to, The Information Technology Act, 2000 has provisions for use of Digital Signatures on the documents submitted in electronic form in order to ensure the security and authenticity of the documents filed electronically. This is a secure and authentic way to submit a document electronically. DSC is mandatory for all the directors in the company.
How You Can Obtain DSC?
You can obtain DSC by directly approaching Certifying Authorities (CAs) with original supporting documents, and self-attested copies will be sufficient.
Step 2: Acquire DPIN:
All the Designated Partners have to obtain ‘Designated Partners Identification Numbers” (DPIN). DPIN is an 8 digit Number allotted by Ministry Corporate Affairs Portal. You need to file e-form DIR3 in order to obtain DPIN.
If the proposed partners already have DPIN then they are not required to follow this step.
Step 3: LLP Registration:
Next step to apply for Name Approval. For this, you first need to register on MCA Portal. After login on the Portal, under MCA Services -> LLP Services -> Select RUN-LLP.
RUN -LLP is a web service in which you can fill two proposed names. If your proposed name is available then you can successfully take your proposed name as an LLP Company Name.
MCA will email you SRN (Service Request Number).
- MCA Services ->e-filing -> Select LLP Forms Download.
- Open the downloaded Zip file.
- Extract the FiLLiP Application form.
- Enter your SRN in the SRN field.
- Click on the Pre-Fill.
This will automatically fill your applications with the appropriate values.
Along with this form you have to attach following documents:
- Proof of Address of registered office of LLP.
- Subscribers sheet including consent.
Step 4: File LLP Agreement:
LLP Agreement governs the mutual rights and duties among the partners.
Following the requirement steps:
- LLP Agreement is required to file using Form 3 on MCA Portal.
- Form 3 has to be filed within 30 days of incorporation.
- LLP Agreement has to be printed on Stamp Paper.

It is a permanent number issued by the registrar of companies, as a unique identification number to the designated partners of the LLP. For allotment of DIN, an application to MCA is made with Photo, Attested ID and Address proof duly attested by CA, CS or CMA.
